The Services are intended to support professional judgment and internal business processes. They do not constitute legal, financial, accounting, regulatory, or audit opinions, nor do they replace professional advice or independent verification.

Samchel AI may enhance, modify, suspend, or discontinue any aspect of the Service at its discretion.

3. Eligibility and Account Responsibilities

You must be at least 18 years of age and authorized to act on behalf of a business entity to use the Platform.

You agree to:

Except for the limited right to use the Service as expressly permitted under these Terms, no rights or licenses are granted to you, whether by implication or otherwise.

You may not copy, modify, distribute, or create derivative works of the Platform without prior written consent.

7. Fees and Payment (If Applicable)

Certain features or services may be subject to fees under separate commercial terms, proposals, or subscription agreements. Failure to pay applicable fees may result in suspension or termination of access.

All fees are exclusive of taxes unless stated otherwise.

8. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMCHEL AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, AND AVAILABILITY.

SAMCHEL AI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT OUTPUTS WILL MEET REGULATORY OR AUDIT STANDARDS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SAMCHEL AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES;

SAMCHEL AI SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM;

SAMCHEL AI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO SAMCHEL AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that reliance on AI-assisted outputs is undertaken at your own risk.

10. Indemnification

You agree to indemnify, defend, and hold harmless Samchel AI, its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:

Your use or misuse of the Platform;

Violation of these Terms;

Breach of applicable laws or professional obligations; or

Infringement of third-party rights through User Data.

11. Termination

Samchel AI may suspend or terminate your access to the Platform at any time, with or without notice, if you breach these Terms or if continued access poses legal, security, or operational risk.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Samchel AI is principally established, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiations. Where unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless otherwise agreed in writing.

13. Force Majeure

Samchel AI shall not be liable for failure or delay in performance resulting from events beyond its reasonable control, including acts of God, system outages, cyber incidents, governmental actions, or labor disputes.

14. Miscellaneous

These Terms constitute the entire agreement between the parties regarding the subject matter.

If any provision is held unenforceable, the remaining provisions shall remain in full force.

You may not assign these Terms without prior written consent; Samchel AI may assign them freely.

Failure to enforce any provision shall not constitute a waiver.
